Terms of Service
These Terms of Service (these “Terms”) govern your access to and use of the Duets application, website, and services (collectively, the “Service”) operated by [ALIGNED OPERATIONS LLC] (the “Operator”, “we”, or “us”), available at duets.us.
By creating an account, logging in, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by the Privacy Policy published at the same location. If you do not agree, you must not use the Service.
THESE TERMS CONTAIN A LIMITATION OF LIABILITY, A CLASS ACTION WAIVER, A JURY TRIAL WAIVER, AND A CHOICE-OF-LAW PROVISION. PLEASE READ THEM CAREFULLY.
1. Definitions & Interpretation
1.1 In these Terms: “Account” means your registered profile on the Service; “Content” means any text, images, or other material you submit, including profile text, photos, chat messages, and images; “Matching Engine” means the automated system (including third-party artificial-intelligence services) that analyses profile text and proposes matches; “Report” means a submission through the Service’s reporting tool.
1.2 Headings are for convenience only. “Including” means including without limitation. The singular includes the plural and vice versa.
2. Eligibility; Age Requirement
You must be at least eighteen (18) years old to use the Service. The Service is strictly for adults.
2.1 By using the Service you represent and warrant that you are at least 18 years old and are not a person barred from using the Service under applicable law. Misrepresenting your age is a material breach of these Terms and will result in immediate termination.
2.2 You may hold one Account. You must provide accurate, current, and complete information during registration and keep it accurate.
2.3 The Service is not available to persons who have been previously removed by the Operator, and to persons on whose behalf a barred person acts.
3. Acceptance & Changes to These Terms
3.1 These Terms take effect when you first access or use the Service and continue while you use it.
3.2 We may amend these Terms prospectively by publishing an updated version with a new effective date. Continued use of the Service after the effective date of an amendment constitutes acceptance. If you do not accept an amendment, your sole remedy is to stop using the Service and delete your Account.
4. The Service; AI Matching; No Guarantee of Results
4.1 The Service provides AI-assisted matchmaking: it analyses the free-text profile sections you write, derives compatibility signals (including mathematical representations of your text and automatically extracted traits), and proposes other users who may be compatible with you.
4.2 YOU ACKNOWLEDGE THAT THE MATCHING ENGINE IS AUTOMATED AND HEURISTIC. WE DO NOT GUARANTEE ANY NUMBER, QUALITY, OR SUITABILITY OF MATCHES, THAT THE ENGINE WILL FUNCTION UNINTERRUPTED OR ERROR-FREE, OR THAT ANY MATCH IS ACCURATE, COMPATIBLE, OR SAFE. MATCH SUGGESTIONS ARE NOT ENDORSEMENTS OR RECOMMENDATIONS OF ANY USER.
4.3 We may modify, suspend, limit, or discontinue any aspect of the Service — including how matching is computed, which results are shown, and availability windows — at any time, with or without notice.
5. Account Registration & Security
5.1 Registration requires sign-in with a Google account, verification of a mobile telephone number, and a live selfie used to verify that your profile photos depict you. These checks exist to reduce fake accounts; they do not constitute identity verification or background checking.
5.2 You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account. Notify us immediately of any unauthorized use.
5.3 We may require re-verification, reject, or remove any Account at our discretion, including where verification cannot be completed or the Account appears fraudulent.
6. User Conduct
6.1 You agree NOT to use the Service to:
- contact, solicit, or pursue persons under 18, or represent that you are under 18;
- harass, stalk, threaten, defame, intimidate, or abuse any person;
- send content that is unlawful, hateful, violent, sexually explicit in violation of these Terms, or that depicts minors in any inappropriate context;
- impersonate any person or entity, or misrepresent your identity, age, or affiliation;
- submit Content you do not have the right to submit, or that infringes any patent, trademark, trade secret, copyright, or privacy right of any person;
- distribute spam, chain letters, unsolicited commercial messages, malware, or links to malicious or third-party services;
- scrape, crawl, reverse-engineer, or attempt to extract data about other users by automated means, or probe the Service’s security;
- solicit money, promote commercial services, or use the Service for any purpose other than genuine personal matchmaking.
6.2 IMPORTANT — CHAT IMAGES ARE NOT PRE-SCREENED. Profile photos pass automated content screening before publication; images exchanged in private chats are delivered without prior review. YOU ARE SOLELY RESPONSIBLE FOR CONTENT YOU SEND. Recipients can Report and Block any user; reported users are investigated and may be banned.
6.3 We reserve the right (but have no obligation) to review Content, to remove or restrict Content or Accounts that violate these Terms or applicable law, and to enforce these Terms in any manner we choose, including legal action and cooperation with law enforcement.
7. User Content; License
7.1 You retain all ownership rights in the Content you submit. To operate the Service you grant the Operator a worldwide, non-exclusive, royalty-free, sublicensable (solely to service providers operating the Service on our behalf) licence to host, store, reproduce, adapt as technically necessary, and display your Content — but only to the extent required to provide the Service (for example, showing your profile and photos to users the Matching Engine proposes).
7.2 This licence ends when your Content is removed from the Service or your Account is deleted, except for copies retained under the Privacy Policy’s retention terms or where retention is required by law.
7.3 You represent that you hold all rights needed to submit your Content and that its use as contemplated above violates no law or third-party right.
8. Automated Processing & AI Disclosure
8.1 The Service processes your profile text automatically, including through third-party artificial-intelligence and machine-learning services (including Google). This includes converting your text into mathematical representations (“embeddings”) and extracting structured traits (for example preferences you express). The Privacy Policy describes this processing and your choices.
8.2 Automated analysis may occasionally produce inaccurate results. You may contest or request review of decisions that significantly affect you by contacting us at the notice address in Section 19.
9. Privacy
9.1 Your use of the Service is also governed by our Privacy Policy, which describes what personal data we collect, why, how long we keep it, and the rights you have. The Privacy Policy is incorporated into these Terms by reference.
10. Membership & Fees
10.1 Access to the Service requires a Membership at the price of four dollars and ninety-nine cents (US$4.99) per month, charged when you subscribe and on each monthly renewal date. Payment is processed by our third-party payment provider (Stripe); we do not store your card details. Where available, card, Apple Pay, and Google Pay are accepted.
10.2 Memberships renew automatically each month until cancelled. You may cancel at any time; cancellation stops future charges and your access continues until the end of the paid period. If a renewal payment fails, we may retry it and your access may end at the close of the then-current period.
10.3 Except where required by law, amounts paid are non-refundable, and no pro-rata refund is issued for a partial period after cancellation. Price changes, if any, will be announced on reasonable prior notice and apply to the next renewal after the notice.
10.4 Your Membership is personal to you and may not be shared. We may suspend access to the Service for chargebacks or suspected payment fraud.
11. Suspension & Termination
11.1 You may stop using the Service and delete your Account at any time via the “Delete account” control in your profile, or by contacting us. Deletion is irreversible and removes your profile, photos, chats, and messages as described in the Privacy Policy.
11.2 We may suspend, restrict, or terminate your Account and access to the Service immediately, with or without notice, for any reason we reasonably consider necessary — including suspected breach of these Terms, suspected illegality, reports by other users, protection of other users, or protection of the Operator. Accounts may be banned automatically when a threshold of independent user reports is reached.
11.3 Termination does not relieve accrued obligations. Sections that by their nature survive (including Sections 6, 7, 12, 13, 14, 15, 16, and 19) survive termination.
12. Disclaimers
12.1 THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
We do NOT conduct criminal, identity, or background checks on any user. Verification steps (phone, selfie) reduce but do not eliminate fake or misleading accounts. Always meet new contacts in public places, tell someone where you are going, and never send money or financial information to anyone you meet online.
12.2 We do not warrant that the Service will be uninterrupted, secure, or error-free; that Content will remain available; or that defects will be corrected. You use the Service at your own risk.
12.3 Advice or information obtained through the Service is not professional advice and is used at your sole risk.
13. Limitation of Liability
13.1 TO THE FULLEST EXTENT PERMITTED BY LAW, THE OPERATOR AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE, HOWEVER CAUSED, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.2 THE OPERATOR’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100) OR (B) THE AMOUNTS YOU PAID TO THE OPERATOR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. This limitation applies regardless of the theory of liability and is a fundamental basis of the bargain between the parties.
13.3 The limitations in this Section apply even if any limited remedy fails of its essential purpose, and survive termination. Nothing in these Terms excludes liability that cannot lawfully be excluded (including liability for fraud or willful misconduct, or statutory protections that cannot be waived).
14. Indemnification
14.1 You agree to defend, indemnify, and hold harmless the Operator and its members, officers, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your Content; (b) your use of the Service in violation of these Terms or of applicable law; and (c) your interaction with, or conduct toward, other users.
14.2 The Operator will provide prompt notice of any claim it seeks indemnity for, and reasonable cooperation. This Section survives termination.
15. Dispute Resolution
15.1 Negotiation. Before commencing any proceeding, the parties will attempt in good faith to resolve any dispute by written negotiation for thirty (30) days from written notice of the dispute.
15.2 Mediation. If negotiation fails, the parties will attempt non-binding mediation before a mutually acceptable mediator, to conclude within sixty (60) days.
15.3 Litigation; Venue. If mediation fails, any proceeding shall be brought solely in the state or federal courts located in the State of Delaware, and each party irrevocably consents to the exclusive jurisdiction and venue of those courts and waives any objection based on inconvenient forum. INTERNATIONAL USERS CONSENT TO THIS VENUE NOTWITHSTANDING THEIR PLACE OF RESIDENCE.
15.4 JURY WAIVER. EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THE SERVICE.
15.5 CLASS ACTION WAIVER. Any proceeding shall be conducted solely on an individual basis; neither party may bring or participate in any class, collective, or representative proceeding, and the parties waive any right to do so.
15.6 Limitations Period. Any claim arising out of or relating to the Service must be brought within one (1) year after the claimant knew or should have known of the facts giving rise to it, or it is forever barred, to the extent permitted by law.
16. Governing Law
16.1 These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.
17. Force Majeure
17.1 Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, epidemics, war, civil unrest, government action, failures of utilities or public infrastructure, or failures of third-party cloud or AI services on which the Service depends.
18. Assignment
18.1 You may not assign or transfer these Terms or your Account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all our assets. These Terms bind and benefit the parties and their permitted successors and assigns.
19. Notices
19.1 Notices to the Operator must be sent by email to legal@duets.us and are effective on transmission confirmed. Notices to you may be sent to the email address associated with your Google account or through the Service, and are effective when sent.
20. General Provisions
20.1 Entire Agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and the Operator regarding the Service and supersede all prior understandings.
20.2 Severability. If any provision is held unenforceable, it will be enforced to the maximum extent permissible and the remainder continues in effect.
20.3 No Waiver. No failure to exercise a right is a waiver of it.
20.4 Survival. Sections intended by their nature to survive (including Sections 6, 7, 12, 13, 14, 15, 16, and 19) survive termination or expiry.
20.5 Equitable Relief. Breach of Sections 6 or 7 may cause irreparable harm for which damages are inadequate, and we may seek injunctive relief without posting bond.
20.6 Electronic Communications. You consent to receive communications from us electronically and to enter into agreements electronically.
21. Deleting Your Account
21.1 You may delete your Account at any time from your profile settings (“Delete account”). Deleting signs you out and removes you from all matchmaking; your profile — texts, photos, and chats — is retained and restored when you sign in again with the same account and repeat the verification steps (phone and selfie). Permanent erasure of all data is available at any time on request at legal@duets.us.
21.2 Questions about these Terms: legal@duets.us.
